(a) Distinguish between Public Company and Private Company.

(b) Who can be appointed as Director?

(c) What are the disqualifications of a Director?

(d) What is share capital? Explain its components.

(e) Distinguish between share certificate and share warrant.

(f) Explain various types of meetings of a company.

3. Answer any five of the following questions : 10×5=50

(a) Explain the powers of Board of Directors.

(b) What is mode of converting a Private Company into a Public Ltd. Company?

(c) Define buyback of shares. Also explain the conditions of buyback.

(d) “A company is formed after preparing certain documents.” What are these documents?

(e) Distinguish between Memorandum of Association and Articles of Association. 

(f) Define and distinguish between ‘stock’ and ‘share’. 

(g) Elaborate the concept and condition of special resolution.
